Job Description

The Role

i. To develop a strong BFSI contract management team at Mumbai with good understanding of banking,
insurance, AMC/mutual fund and other financial services distribution contracts, payments/ PG contracts and other
allied contracts.
ii. Have an experienced head of contracting with strong commercial understanding and negotiating skills for
contracts with large / multinational Banks, insurances companies, AMCs who can support and step up the go to
market strategy of the Business team.
iii. Develop contracting minimum standards for BFSI which are aligned to the internal policies/procedures and
global minimum requirements to insulate business of legal, corruption, privacy, antitrust risks.

Description of work areas

a) Contracts:

i . Standardisation of templates to the extent possible while prescribing standard clauses, negotiable and
non-negotiable ones basis risk categorisation and type of contracts.
ii. Drafting improvement in terms of migrating existing contracting stds to best in Class.
i ii. Set up an efficient drafting and review process of BFSI contracts including payments, product specific like
insurance, mf, NPS etc

b) Commercial:

i. Develop strong regulatory and commercial understanding of the business and each product line for risk
assessment including what is mandatorily required under various regulations for financial services products like
insurance and MF. This would be required for strengthening the contracting process with clear understanding of
obligations and min requirements flowing out of the regulations.

c) Process:

i. Communications with relevant counter parties - external counsel for contract finalisation.
ii. Systematise the complete contracting process, TAT expectations, repository and retrieval process.
iii. Establish an auditable and robust process for modification, renewals and monitoring of key requirements of
contracts
iv. Keep abreast of legislative change & maintain current knowledge of alterations in legislation to continue to
improve contract versions.
v. Ability to delegate work by category, key accounts or specialisation towards achieving optimisation and right use
of resources.
d) Lead:
Develop, motivate and lead a performance-oriented and engaged team.
Ideal Candidate
i. LL.B/ LLM
ii. Minimum 12-15 years post-qualification experience. A right mix of law firm and in-house counsel experience in
Banking & financial services.
iii. Have strong drafting and communication skills and leading a team to supervise in current assignment.
iv. Exposure to a variety of contracts – Complex banking, integrations, IT /software development, licensing, variety of
vendor, supplier, employment, service and partner contracts - both revenue and expense line contracts.
v. Overall good legal knowledge (corporate law, employment laws, business laws, data privacy practises, info sec
stds, etc)
Expectations other than qualification & technical experience:
i. Committed and ready to work under constraints/ pressure.
ii. Ready to travel with sense of urgency along with sales heads to close key agreements. (occasionally this may be
required).
iii. High degree of professional ethics and integrity, excellent judgement, analytical skills and good interpersonal
skills.
iv. Willingness to learn, improve and challenge the status quo for the better
v. Good Negotiation skill and general commercial acumen.
